Loewen has made available a free calculator that enables users to quickly determine the statutory deadlines applicable to convening Shareholders’ General Meetings and Bondholders’ General Meetings, as required under Polish law. The tool is available at: https://lab.loewen.pl/

The SGM/BM Deadline Calculator has been developed by Loewen’s team advising companies listed on the Warsaw Stock Exchange (GPW). Depending on your needs, the calculator can be used in three alternative ways—by entering: the date of the meeting, or the date on which the meeting is convened, or the record date for participation in the meeting.

The remaining steps are performed automatically by the application. An algorithm developed by Loewen, based on the provisions of the Polish Commercial Companies Code, calculates all mandatory statutory dates, including for example the final deadline for submitting proposed amendments to the agenda and the date for making available the list of persons entitled to participate in the meeting.

Importantly, when calculating deadlines, the tool also takes into account non-working days and public holidays, where this is required under the Commercial Companies Code. In addition, the calculator includes warnings where relevant, for example, where a meeting date falls on a non-working day, helping avoid inadvertent scheduling on a public holiday (such as Corpus Christi).
